Terms of Service

These terms are a working draft prepared for transparency. They have not been reviewed by counsel and should not be relied upon as legal advice. A reviewed version will replace this draft.
1. Acceptance of These Terms
These Terms of Service ("Terms") form a binding agreement between you ("Subscriber", "you") and Bidready ("Bidready", "we", "our") governing access to and use of the Bidready website, platform, APIs, and related services (together, the "Service"). By creating an account, clicking "I agree" or a similar acknowledgement, or by using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by the Privacy Policy and Disclaimer.
If you do not agree to these Terms, do not use the Service.
2. The Service
Bidready provides AI-assisted draft content and workflow support for organizations preparing bid, tender, and proposal responses. The Service includes tools for requirement extraction, compliance tracking, drafting assistance, document organization, review workflows, and export. Outputs are drafts only; all final content, form data, pricing, submissions, and business decisions remain the responsibility of the Subscriber.
Bidready does not provide legal, procurement, engineering, financial, insurance, tax, regulatory, or other professional advice. Nothing produced with the Service constitutes professional advice or a guarantee of any particular outcome.
3. Accounts, Eligibility, and Business Use
You must be at least 18 years old and legally capable of entering into a binding contract to use the Service. You represent that you are acquiring and using the Service for business or professional purposes on behalf of an organization, and not for personal, family, or household purposes as a consumer. You must provide accurate account information and keep it current. You are responsible for all activity that occurs under your account and for safeguarding your credentials. Notify us promptly of any unauthorized use of your account by writing to hello@bidready.ca.
4. Subscriber Responsibilities
You are solely responsible for:
- Reviewing, validating, editing, and approving every draft or output before any use, reliance, or submission.
- All pricing, commercial terms, commitments, certifications, insurance, bonding, and qualifications in your proposals.
- All attachments, supporting documents, and referenced materials.
- Compliance with tender requirements, evaluation criteria, and submission rules, including deadlines and delivery method.
- Verifying tender information — including closing dates, amendments, and requirements — against the issuing authority's official documents and portal.
- The final submission package in its entirety.
- Your compliance with applicable laws, regulations, and procurement rules in the jurisdictions where you operate or submit proposals.
- Ensuring you have the right to upload any content, documents, or data you provide to the Service.
5. Acceptable Use
You agree not to:
- Use the Service to violate any law, regulation, contractual obligation, or third-party right.
- Upload content that is unlawful, infringing, defamatory, or that you do not have permission to share.
- Attempt to reverse engineer, decompile, circumvent security controls, or gain unauthorized access to any part of the Service.
- Use the Service to build or train a competing product, or to benchmark against it for that purpose, without our prior written consent.
- Introduce malware, scrape at a rate that degrades the Service, or interfere with other subscribers' use.
- Misrepresent authorship, inventing credentials, projects, personnel, or client history that do not exist.
6. Subscriber Content and Data
You retain all rights in the content, documents, company information, and proposal materials you upload or generate using the Service ("Subscriber Content"). You grant Bidready a limited, worldwide, non-exclusive licence to host, process, display, and transmit Subscriber Content solely as necessary to operate, secure, support, and improve the Service for your organization, and to comply with law.
Subscriber Content is isolated per organization. No other subscriber can view, access, or download your Subscriber Content. Where your Subscriber Content is stored, which sub-processors handle it, and how international transfers are protected is described in the Privacy Policy.
7. AI-Assisted Outputs
The Service uses AI models to generate drafts based on your inputs, uploaded documents, and publicly available information. AI outputs may contain errors, assumptions, placeholders, or omissions, and different users providing similar inputs may receive similar outputs. You must review, validate, edit, and approve every output before any use, reliance, or submission. Bidready makes no representation that outputs are accurate, complete, fit for a particular purpose, compliant with any tender or regulation, or free of third-party rights.
8. Third-Party Services and Data Sources
Tender data.The Service aggregates procurement notices from public sources (for example CanadaBuys and SAM.gov) and from documents you import. This information is provided "as is" for convenience: notices may be amended, corrected, extended, or cancelled by the issuing authority at any time, and the Service's copy may lag the official record. The issuing authority's own portal and documents are the sole authoritative source. Always verify closing dates, amendments, and requirements there before relying on them.
Connected services. If you connect Google Drive or Microsoft OneDrive, you authorize Bidready to access the files you select on your behalf. Your use of those services remains governed by their own terms and privacy policies, and you are responsible for having the right to import the files you select.
AI providers and payments. AI inference and payment processing are performed by third-party sub-processors identified in the Privacy Policy. Bidready is not responsible for interruptions of the Service caused by outages of these third-party providers, though we design the Service to degrade gracefully where possible.
9. Beta Features
Features identified as "Beta", "preview", or "coming soon" (for example, live tender discovery) are provided for evaluation, may be modified or withdrawn at any time, may be subject to additional limits, and are provided without any warranty or service commitment, to the fullest extent permitted by law.
10. Subscriptions and Fees
Pricing tiers and proposal volumes are described on our pricing page. Unless stated otherwise at the point of purchase, prices are in US dollars, subscriptions bill on a recurring monthly basis, and proposal allowances reset each billing period. Usage beyond your plan's allowance may incur per-proposal overage charges at the rate shown on the pricing page. The free trial includes a fixed number of proposals, requires no payment card, and does not renew.
Payments are processed by our payment processor, Stripe; your card details are provided directly to Stripe and are not stored by Bidready. Fees, billing currency, billing cycles, overage charges, and payment terms are presented at the point of purchase. We will give you advance notice of price changes, which take effect at your next billing period.
Except where required by applicable law, fees are non-refundable. Taxes, duties, and withholdings applicable to your jurisdiction are your responsibility.
11. Suspension and Termination
You may stop using the Service or close your account at any time by contacting hello@bidready.ca. We may suspend or terminate your access, with or without notice, if you breach these Terms, if we reasonably believe your use presents a security, legal, or reputational risk, or if we discontinue the Service. On termination, your right to use the Service ends immediately, but Sections that by their nature should survive (including Subscriber Responsibilities, Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law) will continue to apply.
12. Intellectual Property
Bidready and its licensors own all right, title, and interest in the Service, including the software, interfaces, documentation, templates, and branding. Except for the rights expressly granted to you in these Terms, no licence or right is granted by implication, estoppel, or otherwise.
13. Disclaimers
The Service is provided "as is" and "as available" without warranty of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by law, Bidready disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, and uninterrupted availability. Bidready does not warrant that outputs will be correct, compliant, complete, or suitable for submission, or that the Service will meet your requirements or be error-free.
14. Limitation of Liability
To the fullest extent permitted by law, Bidready, its affiliates, officers, employees, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, bids, tenders, contracts, goodwill, data, or anticipated savings, arising out of or related to your use of the Service, even if advised of the possibility of such damages.
Bidready's total aggregate liability arising out of or relating to these Terms or the Service, regardless of the form of action, will not exceed the amount of fees actually paid by you to Bidready for the Service in the twelve (12) months immediately preceding the event giving rise to the claim.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the smallest extent permitted by law.
15. Indemnification
You agree to defend, indemnify, and hold harmless Bidready and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your Subscriber Content; (c) any submission you make to a procurement authority or third party; or (d) your breach of these Terms or of any law.
16. Electronic Communications
By creating an account, you consent to receive service-related electronic communications from Bidready (such as account notices, security alerts, and transactional messages). Promotional or marketing communications will only be sent where permitted by applicable law, including Canada's Anti-Spam Legislation (CASL), and you can withdraw consent at any time via the unsubscribe link in any marketing message or by writing to hello@bidready.ca.
17. Export Controls and Sanctions
You represent that you, your organization, and your use of the Service are not subject to, or in violation of, economic sanctions or export-control restrictions administered by Canada, the United States, the United Nations, the European Union, or the United Kingdom, and that you are not located in a jurisdiction subject to comprehensive sanctions. We may suspend access where we reasonably believe use would violate such restrictions.
18. Force Majeure
Bidready is not liable for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, war, terrorism, labour disputes, governmental action, internet or utility failures, or failures of third-party providers. Your submission deadlines are unaffected by any such event on our side — always maintain your own contingency for submitting on time.
19. Changes to the Service or Terms
We may modify the Service or these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where reasonable, provide additional notice. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not accept the revised Terms, you must stop using the Service.
20. Governing Law and Jurisdiction
Bidready is available worldwide and operated from Canada. These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation, are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You and Bidready agree to submit to the exclusive jurisdiction of the courts located in Ontario, Canada for the resolution of any such dispute, subject to any mandatory consumer-protection rights that apply to you under the laws of your country of residence.
21. General
If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right or provision is not a waiver of that right or provision. These Terms, together with the Privacy Policy and Disclaimer, form the entire agreement between you and Bidready regarding the Service.
